Terms & Services for PingUPP

Welcome to PingUPP. By accessing or using our website and services (the “Service”), you agree to these Terms & Services (“Terms”). Please read them carefully.

1. Overview

PingUPP provides software designed to help restaurants and restaurant chains standardize operations and manage workforce workflows, including:

  • AI Knowledge Base (Recipes, SOPs, Checklists, Equipment Guides, Guides, and Menus)
  • Smart Scheduling (including schedule import/parsing and week-grid management)
  • Time Tracking & Attendance (who’s on shift, clock in/out, late/no-show visibility)
  • Multi-Location Control (organization/workspace-based access and deployment)

By creating an account, using the Service, or purchasing a package, you agree to comply with these Terms.

2. Ownership

2.1 Your Data

You retain ownership of your data and content you upload or create in PingUPP (“Customer Data”), including training materials, menus, recipes, videos, schedules, and documents.

2.2 License to Use the Service

PingUPP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations, subject to these Terms.

2.3 License to Process Customer Data

You grant PingUPP permission to host, store, transmit, and process Customer Data solely to provide and improve the Service (for example: extracting structured fields into templates, generating documents, enabling search and viewing, and producing exports).

3. User Data Collection

We may collect the following information (depending on your usage and configuration):

  • Name
  • Email address
  • Phone number (if enabled for invitations or notifications)
  • Organization/workspace membership and role (e.g., manager/employee)
  • Time tracking and attendance-related records (where applicable)
  • Device and usage data (e.g., log data, browser/device identifiers)
  • Payment and billing information (if you subscribe to a paid plan)

We may also collect non-personal data through the use of cookies and similar technologies. For details, refer to our Privacy Policy.

4. AI Features and Content Processing

4.1 AI Extraction and Templates

If you use AI features (e.g., uploading documents/videos/links for extraction), you acknowledge that:

  • AI outputs may be incomplete, inaccurate, or require human review.
  • You are responsible for reviewing, approving, and validating outputs before operational use.
  • PingUPP may store extracted structured data to power templates, viewing, search, and exports.

4.2 Prohibited Inputs

You agree not to upload content that is unlawful, infringing, or contains sensitive personal data beyond what is necessary for legitimate restaurant operations (e.g., avoid uploading government IDs, medical records, or highly sensitive information).

5. SMS Communications and Consent (If Enabled)

PingUPP may use SMS text messaging to deliver account-related and critical service notifications, such as:

  • Invitations to join the platform
  • Login verification or security notices
  • Scheduling or time-tracking alerts
  • Important account updates

If PingUPP uses an SMS provider (e.g., Twilio or another carrier partner), delivery will occur through that provider.

5.1 Consent for SMS Messages

  • Employers / Account Owners: By adding employees to PingUPP and providing phone numbers, you represent that you have obtained valid consent from those individuals to receive transactional SMS messages necessary for onboarding and use of the Service.
  • Employees / Users: By accepting an invitation or using the Service where SMS is enabled, you consent to receive transactional SMS messages related to your account and work activity. PingUPP will not send marketing SMS messages unless you separately opt in.

5.2 Opt-Out Instructions

Users may opt out of SMS messages at any time by:

  • Replying “STOP” to any SMS message (if supported), and/or
  • Contacting us at the email listed in Section 11.

Opting out may affect receipt of critical notifications.

5.3 Message Details

  • Message and data rates may apply.
  • Message frequency varies depending on system usage and account activity.

6. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of account credentials
  • Ensuring all information provided is accurate and up to date
  • Using the Service only for lawful purposes
  • Ensuring you have the rights to upload and process any Customer Data
  • Managing user roles/permissions appropriately inside your organization/workspaces

You must not:

  • Attempt to disrupt or compromise the Service
  • Reverse engineer or exploit the Service
  • Use the Service to violate labor, privacy, or employment laws

7. Acceptable Use and Operational Safety

PingUPP is an operations tool. You are responsible for ensuring:

  • Recipes, SOPs, equipment instructions, and compliance checklists align with local regulations
  • Food safety standards and labor requirements are properly followed
  • Attendance and payroll exports are reviewed as needed before final processing

8. Availability and Changes

We may change, suspend, or discontinue parts of the Service, including features, integrations, or AI capabilities, at any time. We will make reasonable efforts to provide notice for material changes.

9. Termination

We may suspend or terminate access if you violate these Terms or misuse the Service. You may stop using the Service at any time. Additional billing and cancellation terms may apply depending on your plan.

10. Governing Law

These Terms are governed by the laws of the applicable jurisdiction, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be subject to the jurisdiction of the courts in the applicable jurisdiction, unless otherwise required by applicable law.

11. Updates to the Terms

We may update these Terms from time to time. If material changes are made, we may notify users by email and/or in-product notice (and SMS if enabled and permitted). Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
